Individual Contributor License Agreement

Thank you for contributing to HappyHQ. This Individual Contributor License Agreement ("CLA") clarifies the intellectual property rights you grant to HappyHQ, Inc. ("HappyHQ," "we," or "us") when you submit a contribution. This is not an employment agreement and does not change your rights to use your own contributions for any other purpose.

To submit a contribution, you must agree to this CLA. You will do so by signing electronically via our CLA assistant.

1. Definitions

"You" means the individual submitting a Contribution to HappyHQ.

"Contribution" means any original work of authorship — including source code, documentation, bug fixes, configuration, tests, or other materials — that you intentionally submit to HappyHQ for inclusion in any HappyHQ project, whether via pull request, patch, issue, or any other form of communication.

"Submit" means any form of communication sent to HappyHQ or its repositories, including pull requests, issues, emails, and forum posts.

"Project" means any HappyHQ open source repository or product to which you submit a Contribution.

2. Grant of Copyright License

Subject to the terms of this CLA, you hereby grant to HappyHQ and to recipients of software distributed by HappyHQ a perpetual, worldwide, non-exclusive, royalty-free, irrevocable copyright license to:

  • Reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute your Contributions and derivative works thereof
  • Use your Contributions in HappyHQ under any license we apply to our code, including the MIT License for the core codebase and our commercial license for the /ee/ directory

3. Grant of Patent License

Subject to the terms of this CLA, you hereby grant to HappyHQ and to recipients of software distributed by HappyHQ a perpetual, worldwide, non-exclusive, royalty-free, irrevocable patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer your Contributions, where such license applies only to patent claims licensable by you that are necessarily infringed by your Contributions alone or in combination with the Project.

If any entity institutes patent litigation against you or any other party alleging that your Contribution infringes a patent, any patent licenses granted to that entity under this CLA terminate as of the date such litigation is filed.

4. You Retain Your Rights

You retain all ownership of your Contributions. The licenses you grant above do not affect your right to use your Contributions for any other purpose, including submitting them to other projects or licensing them independently.

5. Your Representations

By submitting a Contribution, you represent that:

  • The Contribution is your original work and you have the right to grant the licenses above
  • Your Contribution does not include any third-party code, content, or materials that you do not have the right to license to HappyHQ on the terms described in this CLA
  • If your employer has rights to intellectual property that you create (including this Contribution), you have received permission from your employer to make the Contribution on behalf of yourself, or your employer has signed a HappyHQ Corporate CLA
  • You are at least 18 years old, or have your parent or guardian's consent to sign this CLA
  • You will notify HappyHQ promptly if any of the above representations becomes inaccurate

6. No Obligation to Include

This CLA does not obligate HappyHQ to include your Contribution in any Project. HappyHQ may, at its sole discretion, decline, remove, or modify any Contribution.

7. No Warranty

Your Contributions are provided "as is." You make no warranties, express or implied, including as to title, non-infringement, merchantability, or fitness for a particular purpose.

8. Governing Law

This CLA is governed by the laws of the State of California, without regard to its conflict of law principles.

9. Entire Agreement

This CLA is the entire agreement between you and HappyHQ with respect to your Contributions, and supersedes all prior discussions on this subject.
