HappyHQ, Inc., a Delaware C-Corporation

Hi there, we're glad you're here. These terms cover your use of any HappyHQ service — our Cloud, a private instance, our Mac app, or any other setup signed in to a HappyHQ account. If you're running the open source code with no HappyHQ account involved, the licenses in the repo are what apply to you. We've written these to be as readable as possible, but if something isn't clear, just reach out.
1. Who We Are
HappyHQ, Inc. ("HappyHQ," "we," "us," or "our") is a Delaware corporation. HappyHQ is an open source AI workspace for everyday work. You can run it yourself or use a version we host for you. By using either, you agree to these Terms.
2. Our Code
Most of HappyHQ is released under the MIT License. You're free to use, copy, modify, merge, publish, distribute, sublicense, and sell copies of the software, subject to the MIT License terms included in the repository.
A small /ee/ folder in the repo holds things like account and billing plumbing. That code sits under a separate commercial license: free for reading, development, and testing, but production use requires a paid HappyHQ plan.
The MIT License governs your use of the source code. These Terms of Service apply separately to any interactions you have with HappyHQ's websites, documentation portals, or community platforms.
The open source software is provided "as is," without warranty of any kind. We love our community and want to support you — but we can't be held liable for issues arising from self-hosted deployments.
3. Our Service
These Terms cover any version of HappyHQ we're involved in running — our Cloud, a private instance, our Mac app, or any other setup where you sign in to a HappyHQ account (collectively, the "Services"). Together with any Order Form or separately signed agreement, these Terms govern your use of the Services. You may use the Services only as permitted by your plan and these Terms.
You agree not to:
- Use the Services to build a competing product
- Resell or sublicense access to the Services without our written permission
- Use the Services in any way that violates applicable law
We reserve the right to suspend or terminate accounts that violate these Terms, with reasonable notice where possible.
Processing of personal data under the Services is governed by our Data Processing Agreement, which is incorporated into these Terms by reference.
If you're self-hosting without a HappyHQ account, these Terms don't apply — you're governed by the licenses in the repo.
4. Your Account
To use the Services, you'll need to create an account. You're responsible for keeping your login credentials secure and for all activity under your account. Please let us know immediately if you believe your account has been compromised.
You must be at least 18 years old to create an account. By registering, you confirm this is true.
5. Your Content
You own your content. Any data, documents, or information you put into HappyHQ belongs to you. We don't claim any rights over it.
By using the Services, you grant us a limited license to store, process, and display your content solely to provide and improve the Services. We don't use your content to train AI models.
6. AI Features
HappyHQ includes AI-powered features (like our assistant, Q). These features are designed to help — not replace — your team's judgment. AI outputs can be wrong or incomplete, so please review anything important before acting on it.
We use third-party AI providers to power some features. By using AI features, you agree that relevant inputs may be processed by those providers, subject to our data agreements with them.
7. Payments & Billing
Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable unless otherwise stated in your Order Form or required by law. If your payment fails, we'll notify you and provide a reasonable grace period before suspending access.
We may change our pricing with at least 30 days' notice. Price changes won't affect your current billing period.
8. Disclaimer & Limitation of Liability
The Services are provided "as is" and "as available." We don't guarantee they will be uninterrupted, error-free, or perfectly secure — though we work hard toward all three.
To the maximum extent permitted by law, HappyHQ won't be liable for indirect, incidental, special, or consequential damages arising from your use of the Services. Our total liability for any claim is limited to the fees you've paid us in the 12 months prior to the event giving rise to the claim.
9. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any disputes will be resolved in the state or federal courts located in Los Angeles County, California, and both parties consent to that jurisdiction.
10. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we'll let you know by email or in-app notice at least 14 days before they take effect. Continuing to use the Services after that means you accept the new Terms.
11. Trademarks & Brand
Our trademarks. "HappyHQ," the HappyHQ logo, and any HappyHQ illustrations, characters, or visual brand assets are trademarks (registered or unregistered) of HappyHQ, Inc. These are not covered by the MIT License and are not open source. All rights are reserved.
What you may do. You may use the HappyHQ name in a factual, descriptive way. For example, to say that your product integrates with HappyHQ, or that you are a HappyHQ user. You may also use our name in editorial or news coverage about HappyHQ.
What you may not do. Without our prior written permission, you may not:
- Use the HappyHQ name, logo, or illustrations in your own product name, company name, or domain
- Modify, distort, or combine our logo or illustrations with other visual elements
- Use our trademarks in a way that suggests HappyHQ endorses, sponsors, or is affiliated with your product or organization
- Use our brand assets on merchandise, apparel, or physical goods
- Register or attempt to register any trademark, domain, or social handle that is confusingly similar to our marks
Open source forks. If you fork or redistribute the open source codebase under the MIT License, you must remove or replace all HappyHQ trademarks and brand assets, including the name, logo, and illustrations, from your distribution. Your fork should clearly identify itself as a separate, unaffiliated project.
Illustrations. HappyHQ's original illustrations are protected by copyright and trademark law. They may not be reproduced, adapted, or used outside of the HappyHQ product and official communications without our written permission.
